1. Contractual Relationship
These terms of use ('Terms') govern your access to and use of the Passride mobile applications, websites, and technology platform (collectively, the 'Platform') through which we facilitate ride-hailing and delivery services ('Services') provided by independent drivers and couriers ('Service Providers'). By accessing or using the services, you agree to be bound by these terms, which establish a legally binding agreement between you and Passride Technologies Inc., a global company with local operational entities in various countries.
Important: If you do not agree to these terms, you may not access or use the services. Please read carefully. Supplemental terms or local policies may apply based on your country of residence or the region from which you use the services. These will be considered part of these terms where applicable and will take precedence in the event of any conflict.
Passride may modify these terms from time to time. All changes will be posted via the platform and become effective upon posting. Continued use of the services after any changes constitutes your acceptance of the revised terms
2. The Services
2.1 Description
Passride provides a technology platform enabling users to book rides with independent third-party drivers (cars only) and request deliveries via cars or motorcycles.
Passride is not a transportation or delivery company.
2.2 License to Use
Passride grants a limited, non-exclusive, non-transferable, revocable license to use the platform for personal or authorized business use.
2.3 Restrictions
Do not use the services unlawfully.
Do not resell, exploit, or interfere with the platform.
Do not book services for people under 18 unless accompanying them.
3. User Accounts
Users must create an active Passride account and provide accurate information.
You are responsible for keeping login credentials secure.
Multiple accounts are prohibited without approval.
Accounts cannot be transferred or assigned.
4. Payment Terms
4.1 Charges and Billing
Charges include base fare, distance, time, tolls, waiting charges, cancellation fees, and taxes.
Passride processes payments as the limited collection agent for service providers.
4.2 Refunds and Disputes
Charges are non-refundable except in cases of system errors, verified service failure, or where required by law.
Refund requests must be submitted within 48 hours in the app.
5. Service Limitations and Disclaimers
5.1 No Guarantee of Availability
Passride does not guarantee service availability or uninterrupted operation.
5.2 Platform Ownership
All intellectual property belongs to Passride or its licensors.
6. Prohibited Activities
While using the services, you may not:
- Violate any applicable law or regulation.
- Harass, abuse, or endanger service providers.
- Transport or request delivery of illegal goods.
- Engage in fraudulent activity such as fake bookings or false claims.
- Impersonate any person or entity.
Passride reserves the right to suspend or terminate your account for any such conduct without notice.
7. Service Provider Independence
Service providers (drivers and couriers) are independent contractors. They:
- operate under their own responsibility.
- Are not employees, agents, or representatives of Passride.
- Are responsible for their own licenses, taxes, and legal compliance
Passride exercises no control over the quality, timing, or legality of its services beyond enabling a ratings and feedback system.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Passride is not liable for any indirect, incidental, punitive, or consequential damages, including lost profits, service interruptions, or data loss.
- Passride is not liable for any injury, damage, or loss arising from your use of services provided by third parties.
- Our total liability, in any case, is limited to USD $0 or equivalent in local currency.
9. Indemnification
You agree to indemnify, defend, and hold harmless Passride, its directors, officers, and affiliates from any claims, damages, or expenses arising from:
- Your use of the services.
- Your breach of these terms.
- Any violation of laws or rights of third parties.
10. Governing Law and Jurisdiction
These terms are governed by the laws of the country where you reside unless local law mandates otherwise.
In the event of a dispute, you agree to:
- Attempt resolution via our customer support team.
- Submit to binding arbitration if applicable in your jurisdiction.
Passride reserves the right to determine the method and forum of dispute resolution, subject to consumer rights laws in your country.
11. Termination
Passride may suspend or permanently deactivate your account at any time, with or without cause, including for:
- Breach of terms
- Fraudulent activity, or repeated user complaints.
You may also terminate your account at any time via the app or by contacting support
12. Miscellaneous
12.1 Severability
Invalid parts of the terms do not affect the rest.
12.2 Entire Agreement
These terms constitute the full agreement.
12.3 No Waiver
Failure to enforce a right is not a waiver.
